1. Acceptance of Terms

By installing, accessing, or using Beaconed ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you don't agree to these Terms, please don't use the Service.

If you're using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service Description

Beaconed is an AI-powered product optimization service for Shopify merchants. We help you make your products more discoverable to AI shopping agents by:

  • Analyzing your product catalog for AI readiness
  • Generating optimized product metadata and descriptions
  • Creating Schema.org markup for better AI understanding
  • Providing analytics on AI visibility

3. Account Responsibilities

You agree to:

  • Provide accurate and complete information when creating your account
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use of your account
  • Use one account per Shopify store
  • Not share your account with others

You're responsible for all activity that occurs under your account.

4. Acceptable Use

You may not:

  • Use the Service for any illegal purpose or to violate any laws
  • Attempt to reverse engineer, decompile, or extract our AI models
  • Share your API keys or access credentials with third parties
  • Abuse rate limits or attempt to circumvent usage restrictions
  • Use the Service to generate misleading, false, or deceptive content
  • Interfere with or disrupt the Service or its infrastructure
  • Scrape, crawl, or extract data from the Service without permission

5. Payment Terms

Subscriptions are billed monthly or annually, as selected at signup. By subscribing, you authorize us to charge your payment method on a recurring basis.

  • Free trial: New accounts start with a 14-day free trial, then move to the free plan (50 products per month)
  • Billing: Charges occur at the start of each billing period
  • Cancellation: You can cancel anytime from your account settings
  • Refunds: We offer a 30-day money-back guarantee on your first paid subscription. After 30 days, we do not provide refunds for partial billing periods.
  • Price changes: We'll notify you 30 days before any price increases

6. Intellectual Property

Your content: You retain all rights to your product data. By using the Service, you grant us a license to use your content solely to provide the Service.

Generated content: Optimizations and metadata generated by the Service are yours to use as you see fit.

Our service: The Service, including our software, AI models, and branding, remains our property. These Terms don't grant you any rights to our intellectual property.

7. Disclaimers

The Service is provided "as is" without warranties of any kind, either express or implied. We don't guarantee that:

  • The Service will be uninterrupted or error-free
  • AI-generated content will be accurate or suitable for any purpose
  • Your products will be recommended by AI shopping agents
  • You'll achieve any specific results from using the Service

You're responsible for reviewing and approving all AI-generated content before publishing.

8. Limitation of Liability

To the maximum extent permitted by law, Beaconed and its affiliates won't be liable for:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Lost profits, revenue, data, or business opportunities
  • Damages resulting from your use or inability to use the Service
  • Content or conduct of any third party on the Service

Our total liability for any claim arising from these Terms won't exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Beaconed, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

10. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access if you violate these Terms or if required by law. Upon termination:

  • Your right to use the Service ends immediately
  • We'll delete your data within 30 days (unless required to retain by law)
  • You remain responsible for any unpaid fees

11. Changes to Terms

We may update these Terms from time to time. We'll notify you of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in Delaware.
